Whoever is doing the attacking. Usually this is obvious, but in cases where it isn't (say in a duel, where both participants are supposed to attack each other simultaneously on a given signal) I'd use a quick contest of Quick Reactions or some such to determine who gets to be the actor first.

If there has been a transfer of 10 APs in a round of the contest (because the winner of that round got a critical) then, yes, you do. If you then knock that person out, but the contest hasn't finished because his mates are standing behind him, you can keep the extra APs until the contest is over. However, all APs reset once the contest has definitely finished.
