Although I couldn't recognize the actual source, it looks like the sort of verbiage that someone's in-house counsel would write - presumably someone who has never had to litigate these sorts of claims. My guess would be that this was an internally generated document and not something that was farmed out to a firm (if it was, TSR should get its money back).
